The Prospectus dated 28 November 2025 (Prospectus) is an important document that should be read in its entirety before deciding whether to participate in the Capital Raising Offer (as referred to below and detailed in the Prospectus). THE CAPITAL RAISINGOFFER
The Prospectus contains details of an offer by Macallum New Energy Limited (ACN628 953 122) (Company) for fully paid ordinary shares in the Company as detailed in the Prospectus (Capital Raising Offer). The Capital Raising Offer is subject to a minimum subscription as detailed in the Prospectus. No shares will be issued or transferred on the basis of the Prospectus after the expiry date, being 13months after the date of the Prospectus. The Company will apply to ASX Limited(ASX) for admission to the official list of ASX and quotation of the shares on ASX within 7 days of the date of the Prospectus.

EXPOSURE PERIOD
The Corporations Act 2001 (Cth) (Corporations Act)prohibits the Company from processing applications for securities under the Prospectus (Applications) in the seven-day period after the date of the Prospectus (Exposure Period). This period may be extended by ASIC for a further period of up to seven days. The purpose of the Exposure Period is to enable the Prospectus to be examined by ASIC and market participants prior to the raising of funds under the offer. The examination may result in the identification of deficiencies in the Prospectus, in which case any Application may need to be dealt with in accordance with section 724 of the Corporations Act. Applications received during the Exposure Period will not be processed until after the expiry of the Exposure Period. No preference will be conferred on any Applications received during the Exposure Period.
OFFER PERIOD
The offer period commences on 8 December 2025 (unless the Exposure Period is extended) and is expected to close on 16 January 2026.The Company may vary these dates without notice.
APPLICATION FORM
The Corporations Act prohibits any person from passing on to another person an Application Form unless it is accompanied by or attached to a complete and unaltered copy of the Prospectus. Refer to the Prospectus for details of the applications process in relation to the Capital Raising Offer.
